1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Gradient Owl" / "We" / "Us" / "Our" — the company operating the online AI school at gradientq.cyou, registered in Malaysia.
- "User" / "You" — any individual who visits the website, submits an enquiry, or enrols in a course.
- "Course" / "Track" — any of the three evening programmes offered by Gradient Owl: Programming and Data Groundwork, Model Building and Evaluation Track, and Night Cohort Capstone.
- "Learner" — a User who has completed enrolment and payment for a Course.
- "Content" — all course materials, session recordings, exercises, written feedback, and supporting resources provided by Gradient Owl.
- "Agreement" — these Terms and Conditions together with our Privacy Policy and Cookie Policy.
2. Acceptance of Terms
By submitting an enquiry form, completing an enrolment, or accessing any Course materials, you agree to be bound by this Agreement. If you do not agree to these terms, you must not use our services.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement under Malaysian law in order to enrol in a Course. By enrolling, you confirm that you meet these requirements.
3. Service Description
Gradient Owl offers structured evening courses in AI development for working adults. Our three tracks — Programming and Data Groundwork, Model Building and Evaluation, and Night Cohort Capstone — are delivered primarily online via live evening sessions, a recorded session library, a cohort forum, and tutor feedback on submitted exercises. The Capstone track also includes in-person workshop components at our Subang Jaya premises.
Courses are conducted in English and are designed primarily for learners based in Malaysia. Learners from other countries may enrol, subject to payment in Malaysian Ringgit and participation in sessions scheduled at Malaysian time (MYT, UTC+8). We do not restrict access by geography but cannot be responsible for time zone or connectivity considerations outside Malaysia.
Session schedules, cohort intake dates, and course content are subject to change. We will communicate material changes to enrolled Learners with reasonable notice.
4. Account and Access
Upon enrolment, Learners are provided with access credentials for the course platform, session library, and cohort forum. You are responsible for keeping your credentials secure and must not share them with third parties. Sharing access with a non-enrolled individual is a breach of these Terms and may result in termination of your access without refund.
You must notify us promptly at [email protected] if you suspect unauthorised access to your account.
5. User Responsibilities
When using our services, you agree to:
- Participate in the cohort forum in a manner that is respectful to other Learners and to the teaching team
- Submit original work for exercises and assessed projects — submitting work that is not your own is a breach of these Terms
- Not record, redistribute, or publish session recordings or course materials without our written consent
- Not use any part of the course platform or forum to distribute unsolicited communications or promotional material
- Not attempt to gain unauthorised access to any part of the course platform or to other Learners' accounts
- Comply with all applicable Malaysian laws in connection with your use of our services
6. Intellectual Property
All course Content — including session recordings, written materials, exercise briefs, and feedback templates — is the intellectual property of Gradient Owl and is protected under applicable Malaysian intellectual property law. You are granted a limited, non-exclusive, non-transferable licence to access and use the Content for personal study purposes only during the period of your enrolment, and (for session recordings) for the duration of your access rights post-completion.
You may not reproduce, redistribute, sell, or sub-license any Content. Assessed project work you produce during a Course remains your own intellectual property. By submitting projects, you grant Gradient Owl a limited right to reference your project (without disclosing personal information) for internal quality review purposes.
7. Payment Terms
Course fees are stated in Malaysian Ringgit (RM) and are payable at the time of enrolment unless a payment plan has been agreed in writing. Payment plans are available on the Model Building and Capstone tracks, splitting the fee into three monthly instalments. Full details of the instalment schedule will be confirmed during the enrolment process.
Accepted payment methods include local bank transfer and major debit or credit cards. Enrolment is confirmed only upon receipt of cleared payment (or the first instalment, where a payment plan applies).
Refund policy: A full refund is available if you withdraw from a Course before the first live session of that intake. After the first live session has taken place, no refund is issued for the completed portion of the course. If you withdraw mid-track, any remaining instalments under a payment plan are still due unless otherwise agreed in writing. In the event that Gradient Owl cancels a cohort, enrolled Learners will receive a full refund or the option to transfer to the next available intake.
8. Course Enrolment and Completion
Each Course track has its own entry requirements. The Programming and Data Groundwork track has no prior knowledge requirement. The Model Building track requires the ability to write clean Python. The Night Cohort Capstone requires completion of or equivalent knowledge to both the Groundwork and Model Building tracks. Entry requirements are discussed during the enrolment conversation and are your responsibility to assess honestly.
A written record of course completion is issued to Learners who attend the minimum required sessions and submit all assessed exercises for that track. The record describes what was studied and what was produced. It is an internal document issued by Gradient Owl and does not constitute a nationally accredited qualification, professional licence, or academic award.
Learners who miss sessions may make use of the session recording library. Attendance at live sessions is strongly encouraged but not a formal requirement for completion, except where specified for assessed presentations in the Capstone track.
9. Disclaimers
Our courses are provided for educational and informational purposes. We make no representation that completing any Course will result in employment, a change in employment status, or any specific professional outcome. Any statistics about learner outcomes shared in our materials reflect individual experiences and are not a forecast of your results.
Course Content is provided as-is and reflects the knowledge of our teaching team at the time of delivery. The field of AI development moves quickly; while we review and update Content before each intake, we do not warrant that all material will reflect the most recent developments at every point during a Course.
10. Limitation of Liability
To the fullest extent permitted by Malaysian law, Gradient Owl's total liability to you in connection with any Course or use of the website shall not exceed the total amount you paid for that Course in the twelve months preceding the relevant claim.
We are not liable for any indirect, incidental, or consequential loss arising from your use of our services, including loss of income, loss of data, or failure to achieve any personal objective. This limitation does not exclude liability for death or personal injury caused by our negligence, or for fraud.
We are not responsible for disruptions to our services caused by circumstances outside our reasonable control, including power outages, internet service failures, or events affecting cloud infrastructure providers.
11. Indemnification
You agree to indemnify and hold harmless Gradient Owl and its staff from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of Course Content, or your violation of any applicable law in connection with your use of our services.
12. Termination
You may withdraw from a Course at any time by notifying us in writing. Refund eligibility is governed by Section 7.
We may suspend or terminate your access to a Course without refund if you breach these Terms — in particular in cases of sharing access credentials, submitting work that is not your own, or conduct that is disruptive to other Learners in the cohort forum. We will give you written notice of suspension or termination and the reason for it.
Sections 6, 9, 10, 11, and 13 of these Terms survive termination.
13. Dispute Resolution and Governing Law
These Terms are governed by and construed in accordance with the laws of Malaysia. If a dispute arises, we ask that you first contact us at [email protected] and allow us 14 days to attempt informal resolution. If informal resolution is unsuccessful, either party may refer the dispute to the courts of Malaysia, which shall have exclusive jurisdiction.
14. General Provisions
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Gradient Owl regarding your use of our services. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision does not constitute a waiver of that right. You may not assign your rights under these Terms to any third party without our written consent.
Notices to Gradient Owl should be sent by email to [email protected] or by post to our registered address. Notices are effective upon confirmed receipt.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, for enrolled Learners, send a notification to the email address on file. Continued use of our services after the effective date of a change constitutes acceptance of the updated Terms.
